Terms of Service

1. Agreement

By accessing or using BetterEDGAR (better-edgar.com, the associated API, and the MCP server), you agree to these terms. If you don't agree, don't use the service.

2. What BetterEDGAR is

BetterEDGAR is a cleaner interface to the SEC's EDGAR public filing database. We offer:

A web UI for searching and browsing filings.
An HTTP API at /api/v1.
An MCP server at /mcp for use with LLM agents.

Filing data is sourced from the SEC's public EDGAR system. We enrich it with classification, ticker/CIK resolution, and exhibit metadata.

3. Not investment, legal, or tax advice

BetterEDGAR returns information from public SEC filings. Nothing on the service is investment, legal, or tax advice; nothing is a recommendation or solicitation to buy, sell, or hold any security. Use the service for informational purposes only. We make no warranty about accuracy, completeness, or timeliness of any data, and filings may be delayed, transformed, or reclassified relative to the SEC's official copy.

4. Accounts

To use most features you need an account. We support email one-time-password sign-in and Google OAuth. You're responsible for keeping your credentials and API keys secure. Don't share accounts or keys.

5. Plans and billing

Free — 50 API / MCP calls per calendar month. Intended for personal evaluation only.
Individual ($10 / month) — Effectively unlimited calls for personal use, subject to abuse-prevention rate limits. Not a commercial license. Using the Individual plan to power a product for your employer, a client, a resale offering, or any commercial purpose is prohibited; use Enterprise.
Enterprise ($50 / month and up) — Commercial use permitted. Multiple API keys with scopes, higher rate limits, priority support. For custom quotas or terms, contact hello@better-edgar.com.

Paid subscriptions are billed monthly through our payment processor, Polar. You may cancel at any time; access continues through the end of the already-paid period. We do not refund partial months except where required by law.

6. Rate limits and fair use

We impose rate limits to keep the service reliable for everyone. You agree not to attempt to circumvent them. We may suspend or terminate accounts that engage in automated scraping beyond purchased quota, distribute API keys, reverse-engineer internal endpoints, or otherwise abuse the service.

7. API keys

Keep API keys private. You are responsible for all activity under your keys. Revoke a compromised key immediately from your Account page; you may issue a replacement.

8. Acceptable use

You agree not to use BetterEDGAR to:

Violate any applicable law, regulation, or third-party right.
Resell, redistribute, or sublicense raw API access or responses without permission.
Build a product whose primary function is to repackage, proxy, or mirror BetterEDGAR.
Reverse-engineer the service beyond what applicable law permits.
Interfere with or disrupt the service or the SEC's own infrastructure.

9. Data from the SEC

SEC filings are public records. BetterEDGAR adds value through transformation, classification, and delivery — but the underlying records are the SEC's, not ours. We do not guarantee our copy matches the SEC's official copy at any given moment and recommend confirming material decisions against the SEC directly.

10. Intellectual property

The BetterEDGAR brand, UI, classifications, enrichments, and code are ours. Subject to these terms and your plan, we grant you a limited, non-exclusive, non-transferable license to use the service. Nothing here transfers ownership of our IP to you or gives you rights in the underlying SEC data beyond what the SEC itself grants.

11. Changes to these terms

We may update these terms. Material changes will be reflected on this page with an updated "Last updated" date. Continued use after changes take effect means you accept the new terms.

12. Termination

You may terminate your account at any time by deleting it or emailing us. We may suspend or terminate accounts that violate these terms. On termination, access ends and your stored account data is deleted within 30 days, except as required by law or by our billing processor.

13. Disclaimers and limitation of liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100.

14. Governing law

These terms are governed by the laws of the jurisdiction in which BetterEDGAR's operator is established, without regard to conflict-of-laws rules. Disputes will be resolved in that jurisdiction's courts, except where applicable consumer-protection law grants you non-waivable rights elsewhere.
